The acquisition was closed in accordance with the terms of the Asset Purchase Agreement. The assets acquired from Zephyr Egg include approx. 2 mln laying hens in modern, in-line facilities, pullet growing facilities, 2 egg processing plants, a feed mill and a fleet of delivery trucks for both eggs and feed.

Cal-Maine also acquired from Zephyr the Eggland's Best franchise for southern Florida, certain flocks of contract laying hens, and Zephyr's interest in American Egg Products, Cal-Maine was the majority owner of American Egg Products prior to this transaction.
